END USER LICENSE AGREEMENT

THIS AGREEMENT IS BETWEEN: JCA LAW OFFICE PROFESSIONAL CORPORATION (“JCA”), with a registered office at 168B Eglinton Ave E, Toronto, Ontario, M4P 1A6, AND THE INDIVIDUAL OR ENTITY (“USER”) WHO DOWNLOADS, INSTALLS, OR USES THE ASSOCIATED SOFTWARE.

IMPORTANT NOTICE: PLEASE READ THIS END-USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY. BY DOWNLOADING, INSTALLING, OR USING THE JCA SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

LICENSE GRANT: Subject to the terms and conditions of this Agreement, JCA grants the User a non-exclusive, non-transferable, limited license to download, install and use the JCA Software for personal or internal business purposes only.
COPYRIGHT: The JCA Software and all intellectual property rights therein are owned by JCA and are protected by applicable intellectual property laws. The User does not acquire any ownership rights in the JCA Software under this Agreement.
RESTRICTIONS: User may not redistribute, sell, decompile, reverse engineer, disassemble, or otherwise reduce the JCA Software to a human-perceivable form.
SUPPORT AND UPDATES: JCA may provide the User with support and updates for the JCA Software, at its sole discretion. JCA is not obligated to provide any updates or enhancements to the JCA Software.
DISCLAIMER OF WARRANTIES: THE JCA SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. JCA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
LIMITATION OF LIABILITY: IN NO EVENT WILL JCA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE JCA SOFTWARE.
TERM AND TERMINATION: This Agreement is effective upon the User’s acceptance of the terms and is in effect until terminated. Users may terminate this Agreement at any time by uninstalling and destroying all copies of the JCA Software. This Agreement will terminate immediately without notice from JCA if the User fails to comply with any provision of this Agreement.
GOVERNING LAW: This Agreement will be governed by the laws of the jurisdiction in which JCA is located, without regard to its conflict of law provisions.

BY CLICKING ON THE “ACCEPT” BUTTON, INSTALLING OR USING THE JCA SOFTWARE, THE USER ACKNOWLEDGES THAT THE USER HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS. IF THE USER DOES NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE JCA SOFTWARE.
